San Francisco, July 1, 2022 — ComCap acted as the exclusive financial advisor to Pitney Bowes (NYSE: PBI) on the $100 million sales of its global eCommerce and shipping business, Borderfree to Global-e (NASDAQ: GLBE). The transaction closed on July 1, 2022.

Borderfree’s advanced technology and significant expertise in cross-border solutions helps retailers enter new global markets by localizing their domestic website in 200+ countries and territories, simplifying compliance and regulations processing. Global-e’s platform enables e-commerce retailers to increase the conversion of international traffic into sales by offering online shoppers in over 200 destinations worldwide, a seamless, localized shopping experience.

Aron Bohlig, Managing Partner at ComCap, highlighted: “Being a first-mover with significant experience making cross-border e-commerce a simple and hassle-free process for global retailers, Borderfree is uniquely positioned to capture the tailwinds of fast-growing eCommerce verticals. We are delighted to have advised the team on the next phase of their journey, and strongly believe Global-e is the right partner for Borderfree to become a global leader in providing cross-border e-commerce solutions for merchants of any size.”

Despite the pandemic, ComCap was able to successfully run an expedited and targeted process for Pitney Bowes, approaching and working with the most relevant and interested parties for Borderfree. ComCap efficiently managed virtual communication with prospective buyers and extensively supported the closure of the transaction with a key emphasis on synergy analyses and due diligence requirements of the sale. The resulting outcome was favorable for all parties and also led to a strategic and commercial partnership between Pitney Bowes and Global-e.

The transaction highlights ComCap’s continued leadership in advising eCommerce businesses. The sale of Borderfree was the second divestiture that ComCap advised Pitney Bowes on recently; ComCap previously advised Pitney Bowes on the sale of Tacit Knowledge to Grid Dynamics in 2021.  This transaction represents ComCap’s fourth recent divestiture mandate representing a multi-billion dollar global player.
